User Acknowledgement and Acceptance of Terms

BY VISITING WWW.UNCERTN.COM, USING THE UNCERTN MOBILE APP, CREATING AN ACCOUNT, JOINING UNCERTN RESERVE OR PURCHASING FROM US, YOU AGREE TO THESE TERMS OF SERVICE. PLEASE READ THEM CAREFULLY BEFORE PURCHASING FROM US.

Overview

This website and the Uncertn mobile app (the "App") are operated by Uncertn Inc., an Ontario corporation ("Uncertn"). Throughout these Terms, "we", "us" and "our" refer to Uncertn, and "you" refers to the person using our website, App or Services. Our website, the App, our online store, customer accounts, Uncertn Reserve and our messaging services are together referred to as the "Services".

By using the Services, placing an order, creating an account or joining Uncertn Reserve, you agree to these Terms of Service ("Terms") and to the policies they refer to, including our Refund Policy and our Privacy Policy. If you do not agree, please do not use the Services.

Our store is hosted on Shopify Inc. Shopify provides the e-commerce platform, customer accounts and hosted checkout we use to sell our products to you.

Nothing in these Terms removes or limits any right you have under consumer protection laws that cannot be waived. Section 23 explains this in more detail.

Section 1 - Eligibility and Online Store Terms

To purchase from us, create an account or join Uncertn Reserve, you must be at least the age of majority in the province, territory, state or country where you live, or be using the Services with the permission and supervision of a parent or legal guardian who agrees to these Terms on your behalf. Uncertn Reserve membership is limited to people who have reached the age of majority where they live.

You may not use our products or the Services for any illegal or unauthorized purpose, and you may not violate any laws in your jurisdiction (including copyright laws) when using the Services.

You must not transmit any worms, viruses or any code of a destructive nature.

If you breach these Terms, we may suspend or end your access to the Services as described in Section 27.

Section 2 - General Conditions

We may refuse service to anyone for any lawful reason.

The website and App use encrypted (HTTPS) connections. Payment card information is entered only on Shopify's hosted checkout and is processed by Shopify and its payment processors. Uncertn does not receive or store your full payment card details.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, or access to the Services, without our express written permission.

The headings used in these Terms are included for convenience only and do not limit or otherwise affect these Terms.

Section 3 - Accuracy, Completeness and Timeliness of Information

We work to keep the information on our website and App accurate and current, but some information may occasionally be incomplete or out of date. General content such as articles, guides and historical information is provided for your reference. Product descriptions, prices and order details shown at checkout are covered by Sections 5, 6 and 21.

Section 4 - Modifications to the Services and Prices

Prices for our products may change without notice. A price change does not affect an order that we have already confirmed.

We may modify, suspend or discontinue any part of the Services, including features of the website or App, at any time. Changes to Uncertn Reserve are governed by Section 11.

Section 5 - Products, Orders and Checkout

Certain products may be available exclusively online or in the App and may be available in limited quantities. Products may be returned or exchanged only according to our Refund Policy.

We make every effort to display the colours and images of our products as accurately as possible. We cannot guarantee that your screen's display of any colour will be accurate.

All checkouts, whether started on our website or in the App, are completed on Shopify's secure hosted checkout. When you submit an order, you are making an offer to purchase the products in your bag. A binding contract is formed when we send you an order confirmation by email or display it in the App. You will receive a copy of your order details by email, and signed-in customers can view their orders in their account.

After confirmation, we may cancel an order, or part of an order, only for a legitimate reason, such as a product being unavailable, an obvious pricing or description error, suspected fraud or a breach of these Terms. If we cancel any part of a confirmed order, we will notify you and refund the amount you paid for the cancelled items to your original payment method.

We may limit quantities purchased per person, household or order, including orders placed under the same customer account, the same payment card or the same billing or shipping address. We may decline orders that, in our reasonable judgment, appear to be placed by dealers, resellers or distributors.

Select discounts cannot be combined, and only one promotional code may be used at a time on select purchases. Any conditions for a specific discount, including reward codes from Uncertn Reserve, will be shown with that discount or at checkout.

You agree to provide current, complete and accurate purchase, contact and shipping information so that we can complete your order and contact you about it.

Section 6 - Pricing, Currency, Taxes, Duties and Shipping

Prices are shown in the currency of the market you select on our website or in the App. If you pay in a currency different from your card's currency, your card issuer may apply its own conversion rate and fees, which we do not control.

Applicable taxes are calculated and shown at checkout before you place your order.

Orders shipped outside Canada may be subject to duties, import taxes and customs fees charged by the destination country. Where these can be calculated in advance, they are shown and collected at checkout. Any duties, import taxes or customs fees not collected at checkout are your responsibility and may be charged by the carrier or customs authority on delivery.

Shipping costs, available shipping methods and estimated delivery times are shown at checkout. Delivery times are estimates and may be affected by carriers, customs and other circumstances outside our control.

Section 7 - Returns, Refunds and Exchanges

Returns, refunds and exchanges are handled according to our Refund Policy, which forms part of these Terms. If an order is refunded, Uncertn Reserve points earned on the refunded amount will be deducted as described in Section 11.

Your rights under our Refund Policy are in addition to any rights you have under applicable consumer protection laws.

Section 8 - Accounts, Sign-In and Account Deletion

You can shop as a guest or create a customer account. Customer accounts are provided through Shopify and use a sign-in method such as a one-time code sent to your email address. The App keeps you signed in on your device until you sign out.

You are responsible for keeping access to your email account secure, for activity under your account, and for keeping your account information accurate and up to date. Please contact us promptly if you believe someone has accessed your account without permission.

Deleting Your Account
You can delete your account at any time in the App (Profile, then Delete Account) or at app.uncertn.com/delete-account. When you delete your account:

We delete the account data stored in the App and our systems, including saved wishlist lists, saved devices and notification preferences.
We delete, or request deletion of, your customer profile with Shopify. Where past orders exist, your personal information is removed through Shopify's data erasure process, which can take up to 30 days.
Your Uncertn Reserve membership ends and any points balance is voided, as described in Section 11.
We keep records of past orders and transactions where we are required or permitted to do so by law, including for tax, accounting, fraud prevention and dispute purposes. These records are handled as described in our Privacy Policy.

Section 9 - The Uncertn App

License
Uncertn Inc. developed and owns the App. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to download and use the App on devices that you own or control, for your personal, non-commercial use. On Apple devices, this license is limited to Apple-branded products that you own or control and to the uses permitted by the Usage Rules in the Apple Media Services Terms and Conditions. You may not copy, modify, reverse engineer, decompile, sell, rent, sublicense or distribute the App, except where applicable law expressly allows it.

App Features
The App lets you browse and buy our products, add items quickly by colour and size, save wishlist lists, see recently viewed products, choose your shopping currency or market, view your order history and order details, use Uncertn Reserve, receive notifications and read messages in your Inbox, and delete your account. Some features may differ between the App and our website.

Wishlist lists you create while signed out are saved only on your device and may be lost if you delete the App or its data. Wishlist lists you create while signed in are saved to your account so they are available on your other devices. Recently viewed products and recent searches are saved only on your device.

Updates
We may release updates to improve the App, fix issues or add features. The App may show a banner when a newer version is available. Some features may stop working on older versions, and we may require you to install the latest version to continue using them.

Maintenance and Support
Uncertn is solely responsible for providing maintenance and support for the App. Contact us using the details in Section 31. Apple and Google have no obligation to provide any maintenance or support services for the App.

Availability
We aim to keep the App available, but it may be unavailable from time to time for maintenance, updates or reasons outside our control.

Section 10 - Apple App Store and Google Play Terms

If you downloaded the App from the Apple App Store, you and Uncertn acknowledge and agree that:

These Terms are between you and Uncertn only, not Apple. Uncertn, not Apple, is solely responsible for the App and its content.
Apple has no obligation to provide any maintenance or support services for the App.
If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are Uncertn's responsibility, to the extent required by these Terms and applicable law.
Uncertn, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession and use of it, including product liability claims, any claim that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy or similar legislation.
If a third party claims that the App or your possession and use of the App infringes that third party's intellectual property rights, Uncertn, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.
You represent and warrant that you are not located in a country that is subject to a Canadian or U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any Canadian or U.S. Government list of prohibited or restricted parties.
You must comply with applicable third-party terms when using the App, including your wireless carrier's terms and data plan.
Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and when you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

If you downloaded the App from Google Play, you also agree to comply with the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for the App.

Section 11 - Uncertn Reserve Rewards Program

Uncertn Reserve ("Reserve") is our rewards program. How points are earned, point values, tiers and tier benefits, available rewards and how to redeem them are shown in the Reserve dashboard in the App and at rewards.uncertn.com (the "Reserve Details"), which form part of these Terms.

Eligibility and Membership
Reserve is open to individuals who have reached the age of majority where they live. Membership is free, is limited to one account per person, and is linked to your Uncertn customer account and email address. You can earn points and redeem rewards on our website and in the App.

Points
Points are a promotional benefit. They have no cash value, cannot be exchanged for cash, and cannot be sold, bought or transferred except through the points transfer feature described below. Points do not expire because of the passage of time alone.

Refunds and Returns
If an order, or part of an order, is refunded, points earned on the refunded amount will be deducted from your balance.

Redeeming Rewards
Rewards are redeemed in your Reserve dashboard. Discount rewards are issued as codes for use at checkout, subject to the conditions shown with the reward. If we are unable to issue a reward after points have been deducted, those points will be returned to your balance.

Points Transfers
Members may transfer points to another Reserve member using the transfer feature in the App or Reserve dashboard. Transfers must be made in multiples of 100 points, with a minimum of 100 points, and may include an optional message of up to 140 characters. A member can receive up to three (3) transfers per day. A completed transfer cannot be reversed except where required by law or to correct an error or fraud. Messages sent with transfers must comply with Section 22.

Birthday Rewards, Surveys and Other Activities
You may add your birthday (month and day) to receive any birthday benefit shown in the Reserve Details. Your birthday can be changed once every 14 days. We may offer points for completing surveys or other activities shown in the Reserve Details. Survey answers are optional.

Apple Wallet Pass
Members using an Apple device may add a Reserve membership pass to Apple Wallet. The pass displays your membership details and updates automatically. Apple Wallet is provided by Apple and is subject to Apple's terms.

Account Deletion
If you delete your Uncertn account, your Reserve membership ends and your points balance, including any unredeemed points, is voided and cannot be restored. Reward codes already issued to you remain subject to their own conditions.

Misuse
To the extent permitted by applicable law, we may suspend a Reserve account, or reverse points or rewards, where points or rewards were obtained through error, fraud, multiple accounts, abuse of the transfer feature or a breach of these Terms. We will tell you what happened and how to contact us if you disagree.

Changes to Reserve
We may change Reserve, including the Reserve Details, or end Reserve, by giving members at least 30 days' notice by email or in the App. Changes do not affect points already earned except as permitted by applicable law.

Section 12 - Push Notifications and Inbox

Push notifications from the App are optional. Before asking for permission, the App explains the kinds of notifications we send. These may include welcome messages and offers, new product and restock announcements, reminders about items left in your bag, and updates about your orders and shipments.

You can turn push notifications off at any time in the App (Profile, then Notifications) or in your device settings. Turning push notifications off does not affect order confirmation and shipping emails.

The Inbox in the App shows the notifications we have sent to your device. Inbox messages are kept until you delete them, delete the App or its data, or delete your account. Offers and discount codes shown in notifications or the Inbox are subject to the conditions stated with them, including any expiry date.

Section 13 - Email Marketing

If you agree to receive marketing emails from us, or where the law otherwise permits us to send them, we may send you emails about our products, offers, Uncertn Reserve and items left in your bag. Every marketing email includes an unsubscribe link, and we process unsubscribe requests within 10 business days. Receiving marketing emails is never a condition of purchase or of joining Uncertn Reserve. Transactional emails, such as order confirmations, shipping updates and account sign-in codes, are sent regardless of your marketing preferences.

Section 14 - Mobile SMS Terms

The Uncertn Inc. mobile message service (the "SMS Service") is operated by Uncertn Inc. Your use of the SMS Service constitutes your agreement to these Mobile SMS Terms.

By consenting to Uncertn Inc.'s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Uncertn Inc. through your wireless provider to the mobile number you provided. Messages may be sent using automated technology. Service-related messages may include order updates and account alerts. Promotional messages may include promotions, offers and cart reminders.

You do not have to sign up for the SMS Service to make any purchase, and your consent is not a condition of any purchase with Uncertn Inc. Your participation is completely voluntary.

We do not charge for the SMS Service, but message and data rates from your wireless provider may apply. Message frequency varies. Check your mobile plan and contact your wireless provider for details.

You may opt out of the SMS Service at any time by texting STOP to the number that sent you the message, or by using the unsubscribe link where available. You will receive a one-time confirmation that you have opted out, and no further messages will be sent unless you sign up again. If you have subscribed to other Uncertn Inc. mobile message programs, you will need to opt out of those separately. For help, text HELP or email support@uncertn.com.

We may change any short code or telephone number we use to operate the SMS Service and will notify you of these changes. Messages you send to a number we have changed may not be received, and we will not be responsible for honouring requests made in those messages. Wireless carriers are not liable for delayed or undelivered messages. If you get a new mobile number, you will need to sign up again with your new number.

Section 15 - Reviews, Surveys and Other Submissions

Product Reviews
Product reviews on our website and in the App are collected and displayed through Loox. Reviews must reflect your genuine experience with the product. Reviews must not include false or misleading statements, offensive or unlawful content, other people's personal information, or content you don't have the right to share. Where a review was submitted in exchange for Uncertn Reserve points, or another benefit, we will identify it as an incentivized review. Points or benefits offered for a review never depend on the review being positive.

We may moderate, decline or remove reviews that breach these Terms. You can report a review you believe is inappropriate using the Report option shown with the review.

Surveys
Taking part in surveys is optional. Survey answers are used to improve our products and Services.

Your Content
When you submit a review, photo, survey answer, transfer message or other content to us (your "Submissions"), you keep ownership of it. You grant us a non-exclusive, royalty-free, worldwide license to use, display, reproduce and adapt your Submissions in connection with the Services and our marketing. You confirm that you have the right to grant this license and that your Submissions do not violate any third party's rights. We are not obligated to keep Submissions confidential (other than personal information, which is handled under our Privacy Policy), to pay compensation for Submissions, or to respond to them.

Section 16 - Contests, Giveaways and Promotions

From time to time, we may run contests, giveaways or other promotions, including on our social media accounts. Each contest or giveaway will be governed by its own official rules, which will be made available when it is announced. If these Terms and a contest's official rules conflict, the official rules apply to that contest. Contests and giveaways run on social media are not sponsored, endorsed or administered by, or associated with, the social media platform.

Section 17 - Optional Tools and Third-Party Services

The Services rely on third-party providers, including Shopify (store, customer accounts and checkout), Shopify's payment processors, Apple and Google (app distribution and push notification delivery), Apple Wallet, Loox (product reviews), Klaviyo (email) and our SMS provider. Your use of features provided by these companies may also be subject to their terms and privacy policies.

We may also provide access to optional third-party tools. Those tools are provided by third parties, and we are not responsible for their content or performance. This does not limit our own responsibilities to you under these Terms or applicable law.

Section 18 - Third-Party Links

The Services may include links to third-party websites that are not operated by us. We are not responsible for the content, accuracy or practices of those websites, or for products or services you purchase from third parties. Please review their policies before engaging with them.

Section 19 - Intellectual Property

The Services, including the App, our trademarks, logos, product designs, photographs, videos, text and graphics, are owned by Uncertn or its licensors and are protected by intellectual property laws. You may not use our trademarks or content without our prior written permission, except as needed to use the Services for your personal, non-commercial purposes. Apple, Apple Wallet, App Store, Google Play and other third-party marks are the property of their respective owners.

Section 20 - Personal Information

Your submission and use of personal information through the Services, including in the App, Uncertn Reserve, push notifications, email and SMS, is governed by our Privacy Policy, which can be viewed here.

Section 21 - Errors, Inaccuracies and Omissions

Occasionally, information in the Services may contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times or availability. We may correct errors, inaccuracies or omissions and update information at any time. If an error affects an order you have already placed, we will contact you. You may then choose to proceed with the corrected order, or cancel it and receive a full refund of any amount paid.

Section 22 - Prohibited Uses

In addition to the other prohibitions in these Terms, you may not use the Services or their content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin or disability; (f) to submit false or misleading information, including fake reviews; (g) to upload or transmit viruses or any other malicious code; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl or scrape; (j) for any obscene or immoral purpose; (k) to interfere with or circumvent the security features of the Services; or (l) to misuse Uncertn Reserve, including by creating multiple accounts, buying or selling points, or abusing points transfers or promotions. We may suspend or end your use of the Services for violating any of these prohibited uses.

Section 23 - Your Consumer Rights

Nothing in these Terms excludes, limits or changes any right or remedy you have under the Consumer Protection Act, 2002 (Ontario), the Sale of Goods Act (Ontario), or any other consumer protection law of the province, territory, state or country where you live that cannot be waived or limited by contract. This includes any warranties or conditions implied by law for the products you buy, your right to bring a claim in court, your right to participate in a class proceeding, and your right to file a complaint with a consumer protection authority. If any part of these Terms conflicts with those rights, those rights apply.

Section 24 - Disclaimer of Warranties; Limitation of Liability

We do not guarantee that the website or App will always be uninterrupted, timely, secure or error-free, or that every feature will be available at all times.

Except for the rights described in Section 23 and the express commitments in these Terms and our Refund Policy, and to the extent permitted by applicable law, the website, App and other digital Services are provided "as is" and "as available". This disclaimer does not apply to the products you buy from us, which are covered by the warranties and conditions that apply to them by law.

To the extent permitted by applicable law, Uncertn Inc. and our directors, officers, employees, affiliates, agents, contractors and service providers will not be liable for indirect, incidental, special, punitive or consequential damages, including lost profits or loss of data, arising from your use of the Services. This does not limit or exclude liability for our negligence, fraud or wilful misconduct, or any liability that cannot be limited or excluded under applicable law, including under Section 23.

Section 25 - Indemnification

To the extent permitted by applicable law, you agree to indemnify Uncertn Inc. against reasonable losses, including reasonable legal fees, arising from a third-party claim caused by your breach of these Terms, your violation of any law, or your Submissions infringing the rights of a third party.

Section 26 - Severability

If any provision of these Terms is found to be unlawful, void or unenforceable, that provision will be enforced to the fullest extent permitted by applicable law, and the unenforceable portion will be severed from these Terms. This does not affect the validity and enforceability of the remaining provisions.

Section 27 - Termination

Obligations and liabilities incurred before termination, including any order already placed, survive the termination of these Terms.

You may stop using the Services at any time and may delete your account as described in Section 8.

If you breach these Terms, we may suspend or end your access to the Services, including your account and Uncertn Reserve membership, as permitted by applicable law. Where reasonable, we will tell you why. You remain responsible for amounts owing for orders you placed before termination.

Section 28 - Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms does not waive that right or provision.

These Terms, together with our Refund Policy, Privacy Policy, the Reserve Details and any official rules for a specific contest, form the entire agreement between you and us about the Services. They replace any prior versions of these Terms.

Section 29 - Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario. If you live outside Ontario, you also keep any protections that the consumer laws of the place where you live give you and that cannot be waived by contract.

If you have a concern, please contact us first at support@uncertn.com so we can try to resolve it. Nothing in this section prevents you from bringing a claim in court or making a complaint to a consumer protection authority.

Section 30 - Changes to These Terms

You can review the most current version of these Terms at any time on this page.

We may update these Terms from time to time. Updated Terms apply to purchases and use of the Services after they are posted. If we make a material change that affects your account or Uncertn Reserve membership, we will notify you by email or in the App at least 30 days before it takes effect. Orders placed before an update remain governed by the Terms in effect when they were placed.
